These Terms of Service govern the relationship between the client ("you") and Powerforce Consulting, Via Generale Cantore 2a, 97013 Comiso RG, Italy, P.IVA: IT-XXXXXXXXXXX ("we," "us," or "the Company"). By requesting a quote, placing an order, or using our services, you accept these Terms in full.
We provide professional consulting and digital services as described on our website and in individual project proposals. All services are delivered digitally unless otherwise agreed in writing. Specific deliverables, timelines, and scope are defined in the accepted proposal or quote for each engagement.
3.1 Quotes are provided free of charge and are valid for 14 calendar days from issuance. 3.2 An order is confirmed when you accept the quote in writing (including email) or proceed to payment via our checkout system. 3.3 All prices are in Euros (EUR) and are subject to IVA (Imposta sul Valore Aggiunto) at the applicable rate (currently 22% for consulting and digital services, per D.P.R. 633/1972). 3.4 For B2B clients within the EU with a valid VAT number, reverse charge may apply per Art. 196 of the VAT Directive (2006/112/EC). 3.5 Payment terms: immediate via Stripe, or 30-day invoice for approved corporate clients.
4.1 Delivery timelines are specified in the accepted proposal. 4.2 Revisions are included per your plan level. Additional revisions beyond the included number are quoted separately. 4.3 Client delays (delayed feedback, missing materials) extend the delivery timeline proportionally. 4.4 Force majeure events (Art. 1218 Codice Civile) excuse delay without liability.
5.1 All deliverables created for you (strategies, documents, designs, code, reports) become your property upon full payment. 5.2 We retain the right to use anonymized case studies and portfolio examples unless you request otherwise in writing. 5.3 Pre-existing intellectual property (our frameworks, templates, and methodologies) remains our property; you receive a perpetual, non-exclusive license to use them for your business. 5.4 Third-party materials (stock images, fonts, software licenses) are subject to their respective license terms.
6.1 Both parties agree to keep confidential all non-public information shared during the engagement. 6.2 This obligation survives termination of the engagement for 3 years. 6.3 We sign NDAs upon request before receiving any materials.
7.1 Our total liability for any claims arising from an engagement shall not exceed the total fees paid for that specific engagement. 7.2 We are not liable for: indirect, consequential, or punitive damages; loss of profits, revenue, or business opportunities; results of implementing our strategic recommendations (which depend on many factors beyond our control); or delays caused by client-side factors. 7.3 Nothing in these Terms limits liability for fraud, willful misconduct, or personal injury caused by negligence.
8.1 You may cancel before work begins for a full refund. 8.2 Cancellation after work has begun: you pay for work completed to date, calculated as a percentage of the total project scope. 8.3 Either party may terminate a long-term engagement with 30 days written notice. 8.4 Upon termination, we deliver all work completed to that point.
If you are a consumer (as defined by Art. 3, D.lgs. 206/2005 — Codice del Consumo), you have the right to withdraw from the contract within 14 days without giving any reason (Art. 52). However, per Art. 59(a), the right of withdrawal does not apply to service contracts after the service has been fully performed, if performance began with your prior express consent and acknowledgment that you will lose your right of withdrawal once the contract is fully performed.
These Terms are governed by Italian law. For business clients: disputes shall be resolved by the courts of Comiso. For consumers: the courts of the consumer's place of residence have jurisdiction per Art. 66-bis, D.lgs. 206/2005. Alternative dispute resolution: the EU Online Dispute Resolution platform is available at ec.europa.eu/odr.
We may modify these Terms with 30 days notice via email. Continued use of our services after the effective date constitutes acceptance. If any provision is found unenforceable by a court of competent jurisdiction, the remaining provisions continue in full force.
